I would keep this simple and do it in two stages so it doesn't end in a bit of a muddle.
Take the upgrade in your mum's name and you won't need to worry about PACs or anything else, then after the new contract is in place contact O2 again and apply to have the contract transferred to your name,

It's something we have only seen recently, a few people have reported doing this successfully, you will need to ring O2 with your mum there and provided you pass the credit check they should be able to do it for you.

Account holders have done this ok in the past. As long as the original account holder is there with you and authorises the change and you pass a credit check (I believe) you should be fine.
As said Customer Services on 202 will look after you and clarify the fine detail.
Edit : I know you have been told this info in so many other words in the above posts, but i just wanted to re assure you it can be done.
