Why are your contracts 3yrs and carphone wharehouse are only 2. And are cheaper.

O2 give you a choice of contract length to suit individual needs. They are called custom plans

You also only get Refresh tariffs with O2 direct.

Carphone warehouse don't have a network to maintain and are also paid commission from the main networks, which they pass on as discounts.

Correct but as an MVNO they don't have to maintain it.

Same as Tesco or giffgaff don't maintain the O2 network.
