Hi, if I pay off my upgrade fee does that buy me out of my contract or just enable me to upgrade and stay with o2

Just to upgrade and stay with O2 I'm afraid. If you want to end your contract then you need to pay off the outstanding balance of the handset and give 30 days notice to end the airtime.
